1. Objet

Les présentes conditions régissent la relation entre GAPLESS (« la Plateforme ») et toute personne proposant des prestations de coaching esport via la Plateforme (« le Coach »).

GAPLESS est une place de marché qui met en relation des joueurs (« les Joueurs ») et des coachs indépendants. GAPLESS n'est pas partie au contrat de prestation conclu entre le Coach et le Joueur : elle fournit uniquement l'outil de mise en relation, de réservation et d'encaissement.

2. Statut du Coach — indépendance

• Le Coach intervient en qualité de professionnel indépendant. Il n'existe aucun lien de subordination ni contrat de travail entre le Coach et GAPLESS. Le Coach n'est ni salarié, ni agent, ni mandataire de GAPLESS.
• Le Coach est seul responsable de son statut juridique et de ses obligations. Il déclare disposer (ou s'engage à se mettre en conformité) d'un statut lui permettant d'exercer une activité rémunérée — par exemple le statut d'auto-entrepreneur (micro-entreprise) — et d'effectuer ses propres déclarations fiscales et sociales (impôts, URSSAF, etc.).
• Le Coach reconnaît que GAPLESS ne procède à aucune retenue de cotisations sociales ou d'impôt pour son compte, et qu'il lui appartient de déclarer et régler ce qu'il doit au titre de son activité.

3. Inscription et vérification

• Le Coach fournit des informations exactes lors de son inscription (identité, jeu, niveau, tarifs).
• Pour être payé, le Coach doit compléter son onboarding de paiement via Stripe Connect, incluant la vérification d'identité et les coordonnées bancaires exigées par Stripe. Le Coach peut en revanche publier sa fiche et ses offres, y compris payantes, sans compte Stripe Connect : ce compte n'est exigé que pour ENCAISSER. Tant que l'onboarding n'est pas finalisé, les sommes dues au Coach sur les prestations encaissées par GAPLESS sont conservées et lui sont versées dès sa finalisation. Les prestations réglées en versement direct au Coach (session à l'unité notamment) exigent techniquement un compte Stripe actif au moment du paiement et restent indisponibles jusque-là.
• GAPLESS peut refuser, suspendre ou résilier l'accès d'un Coach en cas d'informations fausses, de fraude, ou de manquement aux présentes conditions.

4. Prestations et tarifs

• Le Coach fixe librement ses tarifs (sessions à l'unité et/ou packs/programmes) et définit ses disponibilités.
• Le Coach s'engage à honorer les sessions réservées, à être ponctuel, et à fournir une prestation sérieuse et conforme à sa description.
• Le Coach s'interdit toute pratique trompeuse, abusive ou contraire à la loi, ainsi que tout comportement irrespectueux envers les Joueurs.

5. Commission GAPLESS

En contrepartie de la mise en relation et des services de la Plateforme, GAPLESS prélève une commission sur chaque transaction, selon une grille dégressive fonction du niveau du Coach et de son abonnement :

• La commission est prélevée automatiquement au moment de chaque paiement. Le Coach perçoit le montant de la prestation net de la commission.
• GAPLESS peut faire évoluer la grille ; toute modification est communiquée au Coach et ne s'applique qu'aux transactions postérieures.

6. Paiements

• Les paiements sont traités par Stripe, prestataire de services de paiement agréé. Deux circuits coexistent. En versement direct, les fonds transitent par Stripe vers le compte du Coach et GAPLESS ne les détient pas. Pour les prestations encaissées par GAPLESS (packs notamment, et toute offre payante d'un Coach dont l'onboarding Stripe n'est pas finalisé), les fonds sont percus sur le compte Stripe de GAPLESS, qui agit alors comme encaisseur pour le compte du Coach : ils lui sont reversés après prélèvement de la commission, ne constituent pas un dépôt et ne produisent aucun intérêt.
• Après prélèvement de la commission, la part revenant au Coach est versée sur son compte Stripe Connect puis sur son compte bancaire, selon les délais et conditions de Stripe.
• Le Coach s'interdit de contourner la Plateforme (réaliser hors plateforme une prestation initiée sur GAPLESS afin d'éviter la commission). Tout contournement peut entraîner la suspension du compte.

7. Obligations fiscales et sociales — information

Conformément à la réglementation (art. 242 bis du CGI), GAPLESS : informe le Coach de ses obligations fiscales et sociales ; lui transmet un récapitulatif annuel des sommes brutes perçues via la Plateforme ; transmet à l'administration fiscale les informations requises (directive DAC7).

Le Coach reconnaît être informé qu'il doit déclarer les revenus perçus via GAPLESS et se conformer à ses obligations (immatriculation si activité régulière, TVA le cas échéant, cotisations sociales).

8. Avis et réputation

Les Joueurs peuvent laisser un avis après une session. Le Coach accepte ce système d'avis. GAPLESS peut modérer ou retirer un avis manifestement abusif, faux ou contraire à ses règles.

9. Litiges, annulations et remboursements

• Annulation d'une session : le Joueur peut annuler gratuitement jusqu'à 48 h avant la session (remboursement intégral). En cas d'annulation moins de 48 h avant, la session est due et n'est pas remboursée, sauf accord du Coach. Si le Coach ne se présente pas ou annule, le Joueur est intégralement remboursé.
• Packs / abonnements de coaching : un pack est un abonnement mensuel dont le contenu est librement défini et décrit par le Coach (ex. heures de coaching par semaine, suivi, accompagnement). Le Coach s'engage à fournir les prestations conformément à la description publiée de son pack. Les sommes perçues peuvent être retenues par GAPLESS pendant une période de vérification avant d'être reversées au Coach. Si la prestation n'est pas conforme à la description : les parties recherchent un accord amiable ; à défaut, le Joueur est remboursé (total ou au prorata) et le Coach ne perçoit que la part correspondant à la prestation réellement fournie. Le Joueur peut résilier l'abonnement à tout moment (engagement limité à la période en cours).
• Remboursement / litiges : en cas de litige (session non assurée, no-show du Coach, prestation manifestement non conforme), GAPLESS peut, après examen des éléments, procéder à un remboursement total ou partiel du Joueur et ajuster en conséquence les sommes dues au Coach (y compris reprise d'un montant déjà transféré).
• GAPLESS agit comme tiers de confiance pour traiter les litiges mais n'est pas responsable de la qualité intrinsèque de la prestation du Coach.

10. Propriété intellectuelle

Le Coach reste propriétaire des contenus qu'il publie (descriptions, vidéos, programmes) et concède à GAPLESS une licence d'utilisation limitée à l'exploitation et la promotion du service.

11. Données personnelles

Le traitement des données du Coach est décrit dans la Politique de confidentialité de GAPLESS (RGPD). Les sous-traitants incluent notamment Stripe, Supabase, Vercel et Discord.

12. Durée, suspension, résiliation

• Les présentes s'appliquent tant que le Coach dispose d'un compte actif.
• Le Coach peut cesser son activité à tout moment. GAPLESS peut suspendre ou supprimer un compte en cas de fraude, d'abus, de contournement, de comportement nuisible ou de manquement aux présentes.

13. Responsabilité

• GAPLESS fournit une plateforme de mise en relation et ne garantit pas un volume de réservations.
• GAPLESS n'est pas responsable des prestations fournies par les Coachs, ni des litiges entre Coach et Joueur, au-delà de son rôle de tiers de confiance et des obligations légales applicables.

14. Prestations au bénéfice de mineurs

14.1 Le Coach reconnaît qu'une part significative des bénéficiaires est susceptible d'être mineure. Il s'engage à adapter son comportement, son langage et le contenu de ses prestations en conséquence.

14.2 Le Coach s'interdit, à l'égard de tout bénéficiaire mineur : de solliciter ou d'accepter un contact hors des canaux de la Plateforme ; de demander ou de transmettre des coordonnées personnelles ; d'engager tout échange à caractère personnel, sentimental ou sexuel ; de solliciter un paiement direct ou tout avantage hors Plateforme ; de proposer une rencontre physique.

14.3 Le Coach informe sans délai GAPLESS de toute situation laissant présumer qu'un bénéficiaire mineur se trouve en situation de danger.

14.4 Tout manquement aux articles 14.1 à 14.3 entraîne la résiliation immédiate du présent contrat, sans préavis ni indemnité, et le cas échéant le signalement aux autorités compétentes.

15. Garantie en cas de contestation de paiement

Le Coach garantit GAPLESS des conséquences financières des contestations de paiement (« chargebacks ») portant sur les prestations qu'il a dispensées. En cas de contestation aboutie, la commission perçue par GAPLESS est restituée au Coach et le montant net déjà reversé fait l'objet d'une compensation sur les reversements suivants.

16. Modification des conditions

GAPLESS peut modifier les présentes conditions. Les Coachs sont informés des modifications ; la poursuite de l'utilisation vaut acceptation.

17. Droit applicable et litiges

Les présentes sont soumises au droit français. En cas de litige, les parties rechercheront une solution amiable ; à défaut, le litige sera porté devant les tribunaux français compétents.

1. Purpose

These terms govern the relationship between GAPLESS ("the Platform") and any person offering esport coaching services through the Platform ("the Coach").

GAPLESS is a marketplace that connects players ("the Players") with independent coaches. GAPLESS is not a party to the service contract concluded between the Coach and the Player: it solely provides the tool for connecting, booking and collecting payment.

2. Coach status — independence

• The Coach acts as an independent professional. There is no relationship of subordination or employment contract between the Coach and GAPLESS. The Coach is neither an employee, nor an agent, nor a representative of GAPLESS.
• The Coach is solely responsible for their legal status and obligations. The Coach declares that they have (or undertake to comply with) a status allowing them to carry out a paid activity — for example the status of auto-entrepreneur (micro-enterprise) — and to handle their own tax and social declarations (taxes, URSSAF, etc.).
• The Coach acknowledges that GAPLESS does not withhold any social security contributions or tax on their behalf, and that it is up to the Coach to declare and pay what they owe in respect of their activity.

3. Registration and verification

• The Coach provides accurate information when registering (identity, game, level, rates).
• To be paid, the Coach must complete their payment onboarding via Stripe Connect, including the identity verification and bank details required by Stripe. The Coach may however publish their profile and offers, including paid ones, without a Stripe Connect account: that account is only required to RECEIVE money. As long as onboarding is not finalized, amounts due to the Coach on services collected by GAPLESS are held and paid out as soon as it is completed. Services settled by direct transfer to the Coach (single sessions in particular) technically require an active Stripe account at payment time and remain unavailable until then.
• GAPLESS may refuse, suspend or terminate a Coach's access in the event of false information, fraud, or breach of these terms.

4. Services and rates

• The Coach freely sets their rates (individual sessions and/or packs/programs) and defines their availability.
• The Coach undertakes to honor booked sessions, to be punctual, and to provide a serious service in line with its description.
• The Coach refrains from any misleading, abusive or unlawful practice, as well as any disrespectful behavior towards Players.

5. GAPLESS commission

In consideration for the connection and the Platform's services, GAPLESS charges a commission on each transaction, according to a sliding scale based on the Coach's level and subscription:

• The commission is charged automatically at the time of each payment. The Coach receives the amount of the service net of commission.
• GAPLESS may change the scale; any modification is communicated to the Coach and only applies to subsequent transactions.

6. Payments

• Payments are processed by Stripe, an approved payment service provider. Two flows coexist. Under direct transfer, funds pass through Stripe to the Coach's account and GAPLESS does not hold them. For services collected by GAPLESS (packs in particular, and any paid offer from a Coach whose Stripe onboarding is not finalized), funds are received on the GAPLESS Stripe account, which then acts as collecting agent on the Coach's behalf: they are paid over to the Coach after the commission is charged, do not constitute a deposit and bear no interest.
• After the commission is charged, the portion due to the Coach is paid into their Stripe Connect account and then to their bank account, according to Stripe's timeframes and conditions.
• The Coach refrains from circumventing the Platform (carrying out off-platform a service initiated on GAPLESS in order to avoid the commission). Any circumvention may lead to account suspension.

7. Tax and social obligations — information

In accordance with the regulations (art. 242 bis of the CGI), GAPLESS: informs the Coach of their tax and social obligations; provides them with an annual summary of the gross sums received through the Platform; transmits to the tax authorities the required information (DAC7 directive).

The Coach acknowledges being informed that they must declare the income received through GAPLESS and comply with their obligations (registration if regular activity, VAT where applicable, social security contributions).

8. Reviews and reputation

Players may leave a review after a session. The Coach accepts this review system. GAPLESS may moderate or remove a review that is manifestly abusive, false or contrary to its rules.

9. Disputes, cancellations and refunds

• Cancellation of a session: the Player may cancel free of charge up to 48 hours before the session (full refund). In the event of cancellation less than 48 hours before, the session is due and is not refunded, unless the Coach agrees. If the Coach does not show up or cancels, the Player is fully refunded.
• Coaching packs / subscriptions: a pack is a monthly subscription whose content is freely defined and described by the Coach (e.g. coaching hours per week, follow-up, support). The Coach undertakes to provide the services in accordance with the published description of their pack. The sums received may be held by GAPLESS during a verification period before being paid out to the Coach. If the service does not conform to the description: the parties seek an amicable agreement; failing that, the Player is refunded (in full or pro rata) and the Coach receives only the portion corresponding to the service actually provided. The Player may terminate the subscription at any time (commitment limited to the current period).
• Refund / disputes: in the event of a dispute (session not delivered, Coach no-show, service manifestly non-conforming), GAPLESS may, after reviewing the evidence, proceed with a full or partial refund of the Player and adjust accordingly the sums due to the Coach (including reclaiming an amount already transferred).
• GAPLESS acts as a trusted third party to handle disputes but is not responsible for the intrinsic quality of the Coach's service.

10. Intellectual property

The Coach remains the owner of the content they publish (descriptions, videos, programs) and grants GAPLESS a license of use limited to operating and promoting the service.

11. Personal data

The processing of the Coach's data is described in the GAPLESS Privacy Policy (GDPR). The subprocessors notably include Stripe, Supabase, Vercel and Discord.

12. Term, suspension, termination

• These terms apply as long as the Coach holds an active account.
• The Coach may cease their activity at any time. GAPLESS may suspend or delete an account in the event of fraud, abuse, circumvention, harmful behavior or breach of these terms.

13. Liability

• GAPLESS provides a connection platform and does not guarantee a volume of bookings.
• GAPLESS is not responsible for the services provided by Coaches, nor for disputes between Coach and Player, beyond its role as a trusted third party and the applicable legal obligations.

14. Services provided to minors

14.1 The Coach acknowledges that a significant proportion of the beneficiaries may be minors. The Coach undertakes to adapt their behavior, language and the content of their services accordingly.

14.2 With regard to any minor beneficiary, the Coach shall refrain from: soliciting or accepting contact outside the Platform's channels; requesting or transmitting personal contact details; engaging in any exchange of a personal, romantic or sexual nature; soliciting a direct payment or any benefit outside the Platform; proposing an in-person meeting.

14.3 The Coach shall inform GAPLESS without delay of any situation suggesting that a minor beneficiary is in danger.

14.4 Any breach of Articles 14.1 to 14.3 results in the immediate termination of this contract, without notice or compensation, and where applicable a report to the competent authorities.

15. Guarantee in the event of a payment dispute

The Coach indemnifies GAPLESS against the financial consequences of payment disputes ("chargebacks") relating to the services they have provided. In the event of a successful dispute, the commission received by GAPLESS is returned to the Coach and the net amount already paid out is offset against subsequent payouts.

16. Modification of the terms

GAPLESS may modify these terms. Coaches are informed of any modifications; continued use constitutes acceptance.

17. Applicable law and disputes

These terms are subject to French law. In the event of a dispute, the parties will seek an amicable solution; failing that, the dispute will be brought before the competent French courts.

1. Objeto

Las presentes condiciones rigen la relación entre GAPLESS («la Plataforma») y toda persona que ofrezca prestaciones de coaching de esport a través de la Plataforma («el Coach»).

GAPLESS es un mercado que pone en relación a jugadores («los Jugadores») y coaches independientes. GAPLESS no es parte del contrato de prestación celebrado entre el Coach y el Jugador: solo proporciona la herramienta de puesta en relación, reserva y cobro.

2. Estatus del Coach — independencia

• El Coach interviene en calidad de profesional independiente. No existe ningún vínculo de subordinación ni contrato de trabajo entre el Coach y GAPLESS. El Coach no es ni asalariado, ni agente, ni mandatario de GAPLESS.
• El Coach es el único responsable de su estatus jurídico y de sus obligaciones. Declara disponer (o se compromete a regularizar) de un estatus que le permita ejercer una actividad remunerada — por ejemplo el estatus de auto-entrepreneur (microempresa) — y a efectuar sus propias declaraciones fiscales y sociales (impuestos, URSSAF, etc.).
• El Coach reconoce que GAPLESS no efectúa ninguna retención de cotizaciones sociales o de impuestos por su cuenta, y que le corresponde declarar y abonar lo que debe en concepto de su actividad.

3. Registro y verificación

• El Coach proporciona información exacta en el momento de su registro (identidad, juego, nivel, tarifas).
• Para cobrar, el Coach debe completar su onboarding de pago a través de Stripe Connect, incluyendo la verificación de identidad y los datos bancarios exigidos por Stripe. En cambio, el Coach puede publicar su perfil y sus ofertas, incluidas las de pago, sin cuenta de Stripe Connect: esa cuenta solo es necesaria para COBRAR. Mientras el onboarding no esté finalizado, las cantidades debidas al Coach por las prestaciones cobradas por GAPLESS se conservan y se le abonan en cuanto lo complete. Las prestaciones liquidadas mediante pago directo al Coach (en particular la sesión individual) requieren técnicamente una cuenta Stripe activa en el momento del pago y no están disponibles hasta entonces.
• GAPLESS puede rechazar, suspender o resolver el acceso de un Coach en caso de información falsa, fraude o incumplimiento de las presentes condiciones.

4. Prestaciones y tarifas

• El Coach fija libremente sus tarifas (sesiones por unidad y/o packs/programas) y define sus disponibilidades.
• El Coach se compromete a respetar las sesiones reservadas, a ser puntual y a ofrecer una prestación seria y conforme a su descripción.
• El Coach se prohíbe toda práctica engañosa, abusiva o contraria a la ley, así como todo comportamiento irrespetuoso hacia los Jugadores.

5. Comisión GAPLESS

Como contrapartida de la puesta en relación y de los servicios de la Plataforma, GAPLESS aplica una comisión sobre cada transacción, según una escala decreciente en función del nivel del Coach y de su suscripción:

• La comisión se aplica automáticamente en el momento de cada pago. El Coach percibe el importe de la prestación neto de la comisión.
• GAPLESS puede modificar la escala; toda modificación se comunica al Coach y solo se aplica a las transacciones posteriores.

6. Pagos

• Los pagos son procesados por Stripe, proveedor de servicios de pago autorizado. Coexisten dos circuitos. En pago directo, los fondos transitan por Stripe hacia la cuenta del Coach y GAPLESS no los detiene. Para las prestaciones cobradas por GAPLESS (en particular los packs, y toda oferta de pago de un Coach cuyo onboarding de Stripe no esté finalizado), los fondos se reciben en la cuenta Stripe de GAPLESS, que actúa entonces como cobrador por cuenta del Coach: se le abonan tras aplicar la comisión, no constituyen un depósito y no generan intereses.
• Tras la aplicación de la comisión, la parte que corresponde al Coach se abona en su cuenta Stripe Connect y luego en su cuenta bancaria, según los plazos y condiciones de Stripe.
• El Coach se prohíbe eludir la Plataforma (realizar fuera de la plataforma una prestación iniciada en GAPLESS con el fin de evitar la comisión). Toda elusión puede conllevar la suspensión de la cuenta.

7. Obligaciones fiscales y sociales — información

De conformidad con la reglamentación (art. 242 bis del CGI), GAPLESS: informa al Coach de sus obligaciones fiscales y sociales; le transmite un resumen anual de las cantidades brutas percibidas a través de la Plataforma; transmite a la administración fiscal la información requerida (directiva DAC7).

El Coach reconoce estar informado de que debe declarar los ingresos percibidos a través de GAPLESS y cumplir con sus obligaciones (inscripción si la actividad es regular, IVA en su caso, cotizaciones sociales).

8. Reseñas y reputación

Los Jugadores pueden dejar una reseña tras una sesión. El Coach acepta este sistema de reseñas. GAPLESS puede moderar o retirar una reseña manifiestamente abusiva, falsa o contraria a sus normas.

9. Litigios, cancelaciones y reembolsos

• Cancelación de una sesión: el Jugador puede cancelar gratuitamente hasta 48 h antes de la sesión (reembolso íntegro). En caso de cancelación con menos de 48 h de antelación, la sesión se debe abonar y no se reembolsa, salvo acuerdo del Coach. Si el Coach no se presenta o cancela, el Jugador es reembolsado íntegramente.
• Packs / suscripciones de coaching: un pack es una suscripción mensual cuyo contenido es libremente definido y descrito por el Coach (p. ej. horas de coaching por semana, seguimiento, acompañamiento). El Coach se compromete a prestar los servicios conforme a la descripción publicada de su pack. Las cantidades percibidas pueden ser retenidas por GAPLESS durante un periodo de verificación antes de ser abonadas al Coach. Si la prestación no se ajusta a la descripción: las partes buscan un acuerdo amistoso; en su defecto, el Jugador es reembolsado (total o a prorrata) y el Coach solo percibe la parte correspondiente a la prestación realmente realizada. El Jugador puede rescindir la suscripción en cualquier momento (compromiso limitado al periodo en curso).
• Reembolso / litigios: en caso de litigio (sesión no prestada, no-show del Coach, prestación manifiestamente no conforme), GAPLESS puede, tras examinar los elementos, proceder a un reembolso total o parcial del Jugador y ajustar en consecuencia las cantidades adeudadas al Coach (incluida la recuperación de un importe ya transferido).
• GAPLESS actúa como tercero de confianza para tratar los litigios pero no es responsable de la calidad intrínseca de la prestación del Coach.

10. Propiedad intelectual

El Coach sigue siendo propietario de los contenidos que publica (descripciones, vídeos, programas) y concede a GAPLESS una licencia de uso limitada a la explotación y la promoción del servicio.

11. Datos personales

El tratamiento de los datos del Coach se describe en la Política de privacidad de GAPLESS (RGPD). Los encargados del tratamiento incluyen en particular a Stripe, Supabase, Vercel y Discord.

12. Duración, suspensión, resolución

• Las presentes condiciones se aplican mientras el Coach disponga de una cuenta activa.
• El Coach puede cesar su actividad en cualquier momento. GAPLESS puede suspender o eliminar una cuenta en caso de fraude, abuso, elusión, comportamiento perjudicial o incumplimiento de las presentes condiciones.

13. Responsabilidad

• GAPLESS proporciona una plataforma de puesta en relación y no garantiza un volumen de reservas.
• GAPLESS no es responsable de las prestaciones realizadas por los Coaches, ni de los litigios entre Coach y Jugador, más allá de su papel de tercero de confianza y de las obligaciones legales aplicables.

14. Prestaciones en beneficio de menores

14.1 El Coach reconoce que una parte significativa de los beneficiarios puede ser menor de edad. Se compromete a adaptar su comportamiento, su lenguaje y el contenido de sus prestaciones en consecuencia.

14.2 El Coach se abstiene, respecto de cualquier beneficiario menor de edad: de solicitar o aceptar un contacto fuera de los canales de la Plataforma; de pedir o transmitir datos de contacto personales; de entablar cualquier intercambio de carácter personal, sentimental o sexual; de solicitar un pago directo o cualquier ventaja fuera de la Plataforma; de proponer un encuentro físico.

14.3 El Coach informa sin demora a GAPLESS de cualquier situación que permita presumir que un beneficiario menor de edad se encuentra en situación de peligro.

14.4 Todo incumplimiento de los artículos 14.1 a 14.3 conlleva la resolución inmediata del presente contrato, sin preaviso ni indemnización, y en su caso la denuncia ante las autoridades competentes.

15. Garantía en caso de impugnación de pago

El Coach garantiza a GAPLESS frente a las consecuencias financieras de las impugnaciones de pago («chargebacks») relativas a las prestaciones que ha dispensado. En caso de impugnación estimada, la comisión percibida por GAPLESS se restituye al Coach y el importe neto ya abonado es objeto de una compensación sobre los abonos siguientes.

16. Modificación de las condiciones

GAPLESS puede modificar las presentes condiciones. Los Coaches son informados de las modificaciones; el uso continuado equivale a su aceptación.

17. Legislación aplicable y litigios

Las presentes condiciones se rigen por el derecho francés. En caso de litigio, las partes buscarán una solución amistosa; en su defecto, el litigio se someterá a los tribunales franceses competentes.

1. Gegenstand

Die vorliegenden Bedingungen regeln das Verhältnis zwischen GAPLESS („die Plattform") und jeder Person, die über die Plattform Esport-Coaching-Leistungen anbietet („der Coach").

GAPLESS ist ein Marktplatz, der Spieler („die Spieler") mit unabhängigen Coaches in Verbindung bringt. GAPLESS ist nicht Vertragspartei des zwischen dem Coach und dem Spieler geschlossenen Leistungsvertrags: GAPLESS stellt lediglich das Werkzeug zur Vermittlung, Buchung und zum Inkasso bereit.

2. Status des Coaches — Unabhängigkeit

• Der Coach handelt als unabhängiger Berufstätiger. Zwischen dem Coach und GAPLESS besteht weder ein Unterordnungsverhältnis noch ein Arbeitsvertrag. Der Coach ist weder Angestellter noch Vertreter noch Bevollmächtigter von GAPLESS.
• Der Coach ist allein für seinen Rechtsstatus und seine Pflichten verantwortlich. Er erklärt, über einen Status zu verfügen (oder sich zu verpflichten, sich in Einklang zu bringen), der ihm die Ausübung einer entgeltlichen Tätigkeit ermöglicht — beispielsweise den Status des auto-entrepreneur (Kleinstunternehmen) — und seine eigenen Steuer- und Sozialerklärungen vorzunehmen (Steuern, URSSAF, usw.).
• Der Coach erkennt an, dass GAPLESS keine Sozialabgaben oder Steuern für seine Rechnung einbehält und dass es ihm obliegt, das aus seiner Tätigkeit Geschuldete zu erklären und zu begleichen.

3. Registrierung und Überprüfung

• Der Coach macht bei seiner Registrierung korrekte Angaben (Identität, Spiel, Niveau, Tarife).
• Um bezahlt zu werden, muss der Coach sein Zahlungs-Onboarding über Stripe Connect abschließen, einschließlich der von Stripe geforderten Identitätsprüfung und Bankverbindung. Der Coach kann sein Profil und seine Angebote jedoch auch ohne Stripe-Connect-Konto veröffentlichen, einschließlich kostenpflichtiger Angebote: Dieses Konto ist nur zum EMPFANGEN von Geld erforderlich. Solange das Onboarding nicht abgeschlossen ist, werden die dem Coach zustehenden Beträge aus von GAPLESS eingezogenen Leistungen einbehalten und unmittelbar nach Abschluss ausgezahlt. Leistungen mit Direktauszahlung an den Coach (insbesondere Einzelsessions) erfordern technisch ein aktives Stripe-Konto zum Zahlungszeitpunkt und bleiben bis dahin nicht verfügbar.
• GAPLESS kann den Zugang eines Coaches im Falle falscher Angaben, von Betrug oder eines Verstoßes gegen die vorliegenden Bedingungen verweigern, sperren oder beenden.

4. Leistungen und Tarife

• Der Coach legt seine Tarife frei fest (Einzelsitzungen und/oder Pakete/Programme) und bestimmt seine Verfügbarkeiten.
• Der Coach verpflichtet sich, gebuchte Sitzungen einzuhalten, pünktlich zu sein und eine seriöse und der Beschreibung entsprechende Leistung zu erbringen.
• Der Coach untersagt sich jede irreführende, missbräuchliche oder gesetzeswidrige Praxis sowie jedes respektlose Verhalten gegenüber den Spielern.

5. GAPLESS-Provision

Als Gegenleistung für die Vermittlung und die Dienste der Plattform erhebt GAPLESS eine Provision auf jede Transaktion, gemäß einer degressiven Staffel in Abhängigkeit vom Niveau des Coaches und seinem Abonnement:

• Die Provision wird automatisch bei jeder Zahlung erhoben. Der Coach erhält den Betrag der Leistung abzüglich der Provision.
• GAPLESS kann die Staffel anpassen; jede Änderung wird dem Coach mitgeteilt und gilt nur für nachfolgende Transaktionen.

6. Zahlungen

• Die Zahlungen werden von Stripe, einem zugelassenen Zahlungsdienstleister, abgewickelt. Es bestehen zwei Wege nebeneinander. Bei Direktauszahlung laufen die Gelder über Stripe auf das Konto des Coaches und GAPLESS hält sie nicht. Bei von GAPLESS eingezogenen Leistungen (insbesondere Packs sowie jedes kostenpflichtige Angebot eines Coaches ohne abgeschlossenes Stripe-Onboarding) gehen die Gelder auf dem Stripe-Konto von GAPLESS ein, das insoweit als Inkassostelle für Rechnung des Coaches handelt: Sie werden nach Abzug der Provision an ihn ausgezahlt, stellen keine Einlage dar und sind unverzinslich.
• Nach Erhebung der Provision wird der dem Coach zustehende Anteil auf sein Stripe-Connect-Konto und anschließend auf sein Bankkonto ausgezahlt, gemäß den Fristen und Bedingungen von Stripe.
• Der Coach untersagt sich, die Plattform zu umgehen (eine auf GAPLESS initiierte Leistung außerhalb der Plattform erbringen, um die Provision zu vermeiden). Jede Umgehung kann zur Sperrung des Kontos führen.

7. Steuerliche und soziale Pflichten — Information

Im Einklang mit der Regelung (Art. 242 bis des CGI) wird GAPLESS: den Coach über seine steuerlichen und sozialen Pflichten informieren; ihm eine jährliche Aufstellung der über die Plattform erhaltenen Bruttobeträge übermitteln; der Steuerverwaltung die erforderlichen Informationen übermitteln (Richtlinie DAC7).

Der Coach erkennt an, darüber informiert zu sein, dass er die über GAPLESS erhaltenen Einkünfte erklären und seine Pflichten erfüllen muss (Anmeldung bei regelmäßiger Tätigkeit, gegebenenfalls Mehrwertsteuer, Sozialabgaben).

8. Bewertungen und Reputation

Die Spieler können nach einer Sitzung eine Bewertung abgeben. Der Coach akzeptiert dieses Bewertungssystem. GAPLESS kann eine offensichtlich missbräuchliche, falsche oder gegen seine Regeln verstoßende Bewertung moderieren oder entfernen.

9. Streitigkeiten, Stornierungen und Rückerstattungen

• Stornierung einer Sitzung: der Spieler kann bis 48 h vor der Sitzung kostenlos stornieren (vollständige Rückerstattung). Bei Stornierung weniger als 48 h vorher ist die Sitzung geschuldet und wird nicht erstattet, sofern der Coach nicht zustimmt. Wenn der Coach nicht erscheint oder absagt, wird dem Spieler der volle Betrag erstattet.
• Coaching-Pakete / -Abonnements: ein Paket ist ein monatliches Abonnement, dessen Inhalt vom Coach frei definiert und beschrieben wird (z. B. Coaching-Stunden pro Woche, Betreuung, Begleitung). Der Coach verpflichtet sich, die Leistungen gemäß der veröffentlichten Beschreibung seines Pakets zu erbringen. Die erhaltenen Beträge können von GAPLESS während eines Überprüfungszeitraums einbehalten werden, bevor sie an den Coach ausgezahlt werden. Entspricht die Leistung nicht der Beschreibung: suchen die Parteien eine gütliche Einigung; andernfalls wird dem Spieler erstattet (vollständig oder anteilig) und der Coach erhält nur den Anteil, der der tatsächlich erbrachten Leistung entspricht. Der Spieler kann das Abonnement jederzeit kündigen (Bindung auf den laufenden Zeitraum beschränkt).
• Rückerstattung / Streitigkeiten: im Falle einer Streitigkeit (nicht erbrachte Sitzung, No-Show des Coaches, offensichtlich nicht vertragsgemäße Leistung) kann GAPLESS nach Prüfung der Sachlage eine vollständige oder teilweise Rückerstattung an den Spieler vornehmen und die dem Coach geschuldeten Beträge entsprechend anpassen (einschließlich Rückforderung eines bereits überwiesenen Betrags).
• GAPLESS handelt als vertrauenswürdiger Dritter, um Streitigkeiten zu bearbeiten, ist aber nicht für die intrinsische Qualität der Leistung des Coaches verantwortlich.

10. Geistiges Eigentum

Der Coach bleibt Eigentümer der von ihm veröffentlichten Inhalte (Beschreibungen, Videos, Programme) und gewährt GAPLESS eine auf den Betrieb und die Förderung des Dienstes beschränkte Nutzungslizenz.

11. Personenbezogene Daten

Die Verarbeitung der Daten des Coaches wird in der Datenschutzerklärung von GAPLESS (DSGVO) beschrieben. Zu den Auftragsverarbeitern gehören insbesondere Stripe, Supabase, Vercel und Discord.

12. Laufzeit, Sperrung, Kündigung

• Die vorliegenden Bedingungen gelten, solange der Coach über ein aktives Konto verfügt.
• Der Coach kann seine Tätigkeit jederzeit einstellen. GAPLESS kann ein Konto im Falle von Betrug, Missbrauch, Umgehung, schädlichem Verhalten oder einem Verstoß gegen die vorliegenden Bedingungen sperren oder löschen.

13. Haftung

• GAPLESS stellt eine Vermittlungsplattform bereit und garantiert kein Buchungsvolumen.
• GAPLESS ist nicht verantwortlich für die von den Coaches erbrachten Leistungen noch für Streitigkeiten zwischen Coach und Spieler, über seine Rolle als vertrauenswürdiger Dritter und die geltenden gesetzlichen Pflichten hinaus.

14. Leistungen zugunsten Minderjähriger

14.1 Der Coach erkennt an, dass ein erheblicher Teil der Begünstigten minderjährig sein kann. Er verpflichtet sich, sein Verhalten, seine Sprache und den Inhalt seiner Leistungen entsprechend anzupassen.

14.2 Gegenüber jedem minderjährigen Begünstigten unterlässt der Coach: die Aufnahme oder Annahme von Kontakten außerhalb der Kanäle der Plattform; das Erfragen oder Weitergeben persönlicher Kontaktdaten; jeden Austausch persönlicher, romantischer oder sexueller Natur; die Forderung einer Direktzahlung oder eines Vorteils außerhalb der Plattform; das Vorschlagen eines persönlichen Treffens.

14.3 Der Coach informiert GAPLESS unverzüglich über jede Situation, die vermuten lässt, dass sich ein minderjähriger Begünstigter in Gefahr befindet.

14.4 Jeder Verstoß gegen die Artikel 14.1 bis 14.3 führt zur sofortigen Kündigung des vorliegenden Vertrags, ohne Frist oder Entschädigung, und gegebenenfalls zur Meldung an die zuständigen Behörden.

15. Garantie bei Zahlungsanfechtung

Der Coach stellt GAPLESS von den finanziellen Folgen von Zahlungsanfechtungen („Chargebacks") frei, die die von ihm erbrachten Leistungen betreffen. Bei erfolgreicher Anfechtung wird die von GAPLESS erhaltene Provision dem Coach erstattet und der bereits ausgezahlte Nettobetrag mit den folgenden Auszahlungen verrechnet.

16. Änderung der Bedingungen

GAPLESS kann die vorliegenden Bedingungen ändern. Die Coaches werden über etwaige Änderungen informiert; die fortgesetzte Nutzung gilt als Zustimmung.

17. Anwendbares Recht und Streitigkeiten

Die vorliegenden Bedingungen unterliegen französischem Recht. Im Streitfall suchen die Parteien eine gütliche Lösung; andernfalls wird der Streit vor die zuständigen französischen Gerichte gebracht.

1. Oggetto

Le presenti condizioni regolano il rapporto tra GAPLESS («la Piattaforma») e qualsiasi persona che offra prestazioni di coaching esport tramite la Piattaforma («il Coach»).

GAPLESS è un marketplace che mette in relazione giocatori («i Giocatori») e coach indipendenti. GAPLESS non è parte del contratto di prestazione concluso tra il Coach e il Giocatore: fornisce unicamente lo strumento di messa in relazione, prenotazione e incasso.

2. Status del Coach — indipendenza

• Il Coach interviene in qualità di professionista indipendente. Non esiste alcun vincolo di subordinazione né contratto di lavoro tra il Coach e GAPLESS. Il Coach non è né dipendente, né agente, né mandatario di GAPLESS.
• Il Coach è l'unico responsabile del proprio status giuridico e dei propri obblighi. Dichiara di disporre (o si impegna a mettersi in regola) di uno status che gli consenta di esercitare un'attività retribuita — ad esempio lo status di auto-entrepreneur (microimpresa) — e di effettuare le proprie dichiarazioni fiscali e sociali (imposte, URSSAF, ecc.).
• Il Coach riconosce che GAPLESS non effettua alcuna ritenuta di contributi sociali o di imposte per suo conto, e che spetta a lui dichiarare e versare quanto dovuto a titolo della sua attività.

3. Registrazione e verifica

• Il Coach fornisce informazioni esatte al momento della registrazione (identità, gioco, livello, tariffe).
• Per essere pagato, il Coach deve completare il proprio onboarding di pagamento tramite Stripe Connect, comprensivo della verifica d'identità e delle coordinate bancarie richieste da Stripe. Il Coach può invece pubblicare il proprio profilo e le proprie offerte, anche a pagamento, senza un account Stripe Connect: tale account è richiesto solo per INCASSARE. Finché l'onboarding non è finalizzato, gli importi dovuti al Coach per le prestazioni incassate da GAPLESS sono trattenuti e gli vengono versati non appena lo completa. Le prestazioni regolate con versamento diretto al Coach (in particolare la sessione singola) richiedono tecnicamente un account Stripe attivo al momento del pagamento e restano non disponibili fino ad allora.
• GAPLESS può rifiutare, sospendere o risolvere l'accesso di un Coach in caso di informazioni false, frode o inadempimento delle presenti condizioni.

4. Prestazioni e tariffe

• Il Coach fissa liberamente le proprie tariffe (sessioni singole e/o pacchetti/programmi) e definisce le proprie disponibilità.
• Il Coach si impegna a onorare le sessioni prenotate, a essere puntuale e a fornire una prestazione seria e conforme alla sua descrizione.
• Il Coach si vieta qualsiasi pratica ingannevole, abusiva o contraria alla legge, nonché qualsiasi comportamento irrispettoso nei confronti dei Giocatori.

5. Commissione GAPLESS

Come corrispettivo della messa in relazione e dei servizi della Piattaforma, GAPLESS preleva una commissione su ogni transazione, secondo una scala decrescente in funzione del livello del Coach e del suo abbonamento:

• La commissione è prelevata automaticamente al momento di ogni pagamento. Il Coach percepisce l'importo della prestazione al netto della commissione.
• GAPLESS può modificare la scala; ogni modifica è comunicata al Coach e si applica solo alle transazioni successive.

6. Pagamenti

• I pagamenti sono trattati da Stripe, prestatore di servizi di pagamento autorizzato. Coesistono due circuiti. Con il versamento diretto, i fondi transitano tramite Stripe verso il conto del Coach e GAPLESS non li detiene. Per le prestazioni incassate da GAPLESS (in particolare i pack e ogni offerta a pagamento di un Coach il cui onboarding Stripe non sia finalizzato), i fondi sono percepiti sul conto Stripe di GAPLESS, che agisce allora come incaricato all'incasso per conto del Coach: gli sono riversati previo prelievo della commissione, non costituiscono un deposito e non producono interessi.
• Dopo il prelievo della commissione, la parte spettante al Coach è versata sul suo conto Stripe Connect e poi sul suo conto bancario, secondo i tempi e le condizioni di Stripe.
• Il Coach si vieta di eludere la Piattaforma (realizzare al di fuori della piattaforma una prestazione avviata su GAPLESS al fine di evitare la commissione). Qualsiasi elusione può comportare la sospensione dell'account.

7. Obblighi fiscali e sociali — informazione

Conformemente alla regolamentazione (art. 242 bis del CGI), GAPLESS: informa il Coach dei suoi obblighi fiscali e sociali; gli trasmette un riepilogo annuale delle somme lorde percepite tramite la Piattaforma; trasmette all'amministrazione fiscale le informazioni richieste (direttiva DAC7).

Il Coach riconosce di essere informato che deve dichiarare i redditi percepiti tramite GAPLESS e conformarsi ai propri obblighi (iscrizione se attività regolare, IVA se del caso, contributi sociali).

8. Recensioni e reputazione

I Giocatori possono lasciare una recensione dopo una sessione. Il Coach accetta questo sistema di recensioni. GAPLESS può moderare o rimuovere una recensione manifestamente abusiva, falsa o contraria alle proprie regole.

9. Controversie, annullamenti e rimborsi

• Annullamento di una sessione: il Giocatore può annullare gratuitamente fino a 48 h prima della sessione (rimborso integrale). In caso di annullamento meno di 48 h prima, la sessione è dovuta e non viene rimborsata, salvo accordo del Coach. Se il Coach non si presenta o annulla, il Giocatore è rimborsato integralmente.
• Pacchetti / abbonamenti di coaching: un pacchetto è un abbonamento mensile il cui contenuto è liberamente definito e descritto dal Coach (es. ore di coaching a settimana, follow-up, accompagnamento). Il Coach si impegna a fornire le prestazioni conformemente alla descrizione pubblicata del suo pacchetto. Le somme percepite possono essere trattenute da GAPLESS durante un periodo di verifica prima di essere versate al Coach. Se la prestazione non è conforme alla descrizione: le parti ricercano un accordo amichevole; in mancanza, il Giocatore è rimborsato (totalmente o pro rata) e il Coach percepisce solo la parte corrispondente alla prestazione effettivamente fornita. Il Giocatore può recedere dall'abbonamento in qualsiasi momento (impegno limitato al periodo in corso).
• Rimborso / controversie: in caso di controversia (sessione non erogata, no-show del Coach, prestazione manifestamente non conforme), GAPLESS può, dopo aver esaminato gli elementi, procedere a un rimborso totale o parziale del Giocatore e adeguare di conseguenza le somme dovute al Coach (compreso il recupero di un importo già trasferito).
• GAPLESS agisce come terzo di fiducia per trattare le controversie ma non è responsabile della qualità intrinseca della prestazione del Coach.

10. Proprietà intellettuale

Il Coach resta proprietario dei contenuti che pubblica (descrizioni, video, programmi) e concede a GAPLESS una licenza d'uso limitata allo sfruttamento e alla promozione del servizio.

11. Dati personali

Il trattamento dei dati del Coach è descritto nell'Informativa sulla privacy di GAPLESS (GDPR). I responsabili del trattamento includono in particolare Stripe, Supabase, Vercel e Discord.

12. Durata, sospensione, risoluzione

• Le presenti condizioni si applicano finché il Coach dispone di un account attivo.
• Il Coach può cessare la propria attività in qualsiasi momento. GAPLESS può sospendere o eliminare un account in caso di frode, abuso, elusione, comportamento dannoso o inadempimento delle presenti condizioni.

13. Responsabilità

• GAPLESS fornisce una piattaforma di messa in relazione e non garantisce un volume di prenotazioni.
• GAPLESS non è responsabile delle prestazioni fornite dai Coach, né delle controversie tra Coach e Giocatore, al di là del suo ruolo di terzo di fiducia e degli obblighi di legge applicabili.

14. Prestazioni a beneficio di minori

14.1 Il Coach riconosce che una parte significativa dei beneficiari può essere minorenne. Si impegna ad adattare di conseguenza il proprio comportamento, il proprio linguaggio e il contenuto delle proprie prestazioni.

14.2 Il Coach si astiene, nei confronti di qualsiasi beneficiario minorenne: dal sollecitare o accettare un contatto al di fuori dei canali della Piattaforma; dal richiedere o trasmettere recapiti personali; dall'intraprendere qualsiasi scambio di carattere personale, sentimentale o sessuale; dal sollecitare un pagamento diretto o qualsiasi vantaggio al di fuori della Piattaforma; dal proporre un incontro di persona.

14.3 Il Coach informa senza indugio GAPLESS di qualsiasi situazione che lasci presumere che un beneficiario minorenne si trovi in una situazione di pericolo.

14.4 Qualsiasi violazione degli articoli da 14.1 a 14.3 comporta la risoluzione immediata del presente contratto, senza preavviso né indennità, e se del caso la segnalazione alle autorità competenti.

15. Garanzia in caso di contestazione di pagamento

Il Coach garantisce GAPLESS dalle conseguenze finanziarie delle contestazioni di pagamento («chargeback») relative alle prestazioni che ha fornito. In caso di contestazione accolta, la commissione percepita da GAPLESS viene restituita al Coach e l'importo netto già versato è oggetto di compensazione sui versamenti successivi.

16. Modifica delle condizioni

GAPLESS può modificare le presenti condizioni. I Coach sono informati delle modifiche; l'uso continuato vale come accettazione.

17. Legge applicabile e controversie

Le presenti condizioni sono soggette al diritto francese. In caso di controversia, le parti ricercheranno una soluzione amichevole; in mancanza, la controversia sarà portata dinanzi ai tribunali francesi competenti.
